1. Acceptance of Terms

By accessing or using the services provided by Infiltrate Marketing ("Company," "we," "our," or "us"), you ("Client," "User," or "you") agree to be bound by these Terms of Service. If you do not agree to all of these terms, do not use our website, software-as-a-service (SaaS) platform, sub-accounts, or digital marketing services.

2. Description of Services

Infiltrate Marketing provides a SaaS-enabled marketing and CRM platform (powered by GoHighLevel infrastructure), including but not limited to lead generation tools, pipeline automations, funnel and website builders, SMS/email marketing workflows, and digital marketing consulting (collectively, the "Services"). We reserve the right to modify, suspend, or discontinue any part of the Services at any time with or without notice.

3. Account Registration & Sub-Account Security

 Account Creation: To access our platform, you must register for an account or sub-account. You agree to provide accurate, current, and complete information during registration.

 Security & Access: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur within your sub-account. Notify us immediately of any unauthorized use or security breach.

4. Fees, Billing and Payments

 Subscription Fees: Access to our SaaS platform and ongoing agency services require payment of applicable subscription or setup fees as outlined in your specific service plan or agreement.

 Automatic Renewal: Subscriptions automatically renew on a recurring basis (monthly or annually) unless canceled prior to the renewal date via your account settings or written notice.

 Refund Policy: All fees are non-refundable except as expressly stated in writing or required by applicable law.

 Payment Failures: If a payment fails, we reserve the right to suspend platform access and sub-account workflows until all outstanding balances are settled.

5. Acceptable Use and Messaging Compliance

You agree not to misuse the Services. Due to the nature of SMS and email automation, you expressly agree to the following compliance standards:

 Regulatory Compliance: You represent and warrant that you have obtained all necessary, verifiable opt-ins and consents from your end-users and leads as required by the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, GDPR, and any other applicable telecommunications or privacy laws.

 A2P 10DLC & Carrier Rules: You agree to strictly adhere to all Application-to-Person (A2P) 10DLC messaging carrier requirements, brand/campaign registrations, and messaging content restrictions.

 Prohibited Content & Spam: You will not use the platform to send spam, unsolicited bulk messages, deceptive content, or prohibited campaign types (such as high-risk financial schemes, adult content, illegal substances, or unauthorized debt collection).

 Suspension Rights: Infiltrate Marketing reserves the right to audit messaging practices, or immediately suspend or terminate any sub-account showing abnormal spam complaints, high bounce rates, carrier violations, or unauthorized outreach, to protect agency-level infrastructure.

6. Third-Party Integrations and Dependencies

Our platform relies on third-party APIs, telecommunications providers (such as Twilio and Mailgun), payment gateways (such as Stripe), and social media platform APIs (such as Meta, Google, etc.).

 Disclaimer: We do not guarantee continuous, uninterrupted uptime of third-party integrations.

 Liability: Infiltrate Marketing shall not be liable for any workflow disruptions, lost leads, or financial damages resulting from third-party outages, API deprecations, policy changes, or the suspension/banning of your connected social media or advertising accounts by third platforms.

7. Data Privacy and Responsibilities (Data Controller)

 Client as Data Controller: You acknowledge and agree that you are the "Data Controller" of all data, leads, contacts, and content uploaded to or collected via your sub-account.

 Privacy Policies: You are solely responsible for posting your own legally compliant Privacy Policy and Terms of Use on your landing pages and websites built within or connected to our platform to inform your consumers how their data is collected and used.

 Our Use of Data: You retain ownership of your Client Content. You grant Infiltrate Marketing a worldwide, royalty-free license to host, use, and process your data solely to provide, maintain, and improve the Services.

8. Intellectual Property Rights

 Our Property: All rights, title, and interest in the underlying SaaS platform, software code, proprietary templates, agency branding, designs, trademarks and documentation remain the exclusive property of Infiltrate Marketing.

 Platform Assets: Pre-built snapshots, workflows, funnels, and templates provided to you are licensed for your use during your active subscription and may not be resold, repackaged, or transferred to third parties unless explicitly authorized in writing.

9. Limitation of Liability

To the maximum extent permitted by law, Infiltrate Marketing shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Services or platform downtime.

10. Disclaimer of Warranties

The Services are provided on an "as-is" and "as-available" basis. Infiltrate Marketing disclaims all warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services or automated workflows will be completely uninterrupted, secure, or error-free.

11. Termination

We may suspend or terminate your access to the platform immediately, without prior notice or liability, if you breach any provision of these Terms of Service or violate carrier regulations. Upon termination, your right to use the SaaS platform and sub-account will cease immediately, and data may be permanently purged in accordance with our data retention policies.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Infiltrate Marketing operates, without regard to its conflict of law provisions.
